3.2 Service Limitations

KROOT is not responsible for delays caused by factors outside our reasonable control (see Section 12: Force Majeure).

4. ENGAGEMENT PROCESS
4.1 Inquiry and Assessment

4. Proposal: Written proposal including scope, timeline, and pricing
4.2 Project Agreement
Services commence only after:
- Signed Statement of Work or Service Agreement
- Purchase Order or Engagement Letter (as applicable)
- Receipt of required deposit (typically 50% of project value)
No work begins until a formal agreement is executed.
4.3 Changes to Scope
Changes to project scope require:
- Written change order request
- KROOT approval and revised pricing
- Client signature on amended agreement
- Adjusted payment terms (if applicable)
Unauthorized changes may result in additional charges or project delays.

5. PAYMENT TERMS
5.1 Standard Payment Structure
Projects:
- Deposit: 50% upon contract signing
- Progress Payments: As specified in SOW (for multi-phase projects)
- Final Payment: 50% upon project completion and client acceptance
Consulting Engagements:
- Retainer: Monthly payment in advance (for ongoing services)

5.3 Late Payments
- Late payments subject to 2% monthly interest charge
- Work may be suspended for accounts overdue by 30+ days
- Equipment may be repossessed for non-payment (as permitted by law)
5.4 Taxes and Duties
- Prices exclude VAT, import duties, and other applicable taxes unless stated
- Client responsible for all taxes associated with services
- KROOT provides compliant tax invoices as required by local law

6. WARRANTIES AND GUARANTEES
6.1 Workmanship Warranty
KROOT warrants:
- Professional workmanship to industry standards
- Installation performed in accordance with manufacturer specifications
- Services delivered as documented in the SOW
Warranty Period:
- Installation Work: 12 months from project completion
- Consulting Deliverables: 90 days for corrections or clarifications
6.2 Equipment Warranty
- Equipment supplied by KROOT is covered by manufacturer warranty
- Warranty terms and duration vary by manufacturer and equipment type
- KROOT facilitates warranty claims but is not responsible for manufacturer defects
6.3 Warranty Exclusions
Warranties do NOT cover:
- Damage from improper use, neglect, or lack of maintenance
- Modifications made by third parties
- Natural disasters, lightning, power surges, or force majeure events
- Normal wear and tear

6.4 Disclaimer of Implied Warranties

7. LIMITATION OF LIABILITY

9. CLIENT RESPONSIBILITIES

You represent that:
- All information provided is accurate and complete
- You have authority to enter into this agreement

- Respond to KROOT requests within reasonable timeframes
- Provide timely approvals and decisions
- Designate a single point of contact for the project
Delays caused by your failure to fulfill these responsibilities may result in project timeline extensions and additional charges.

10. TERMINATION
10.1 Termination by Either Party
Either party may terminate with:

11. DISPUTE RESOLUTION

Parties agree to first attempt to resolve disputes through good-faith negotiation between senior management.

If mediation fails, disputes will be resolved through binding arbitration under:
- Rules of the Arbitration Foundation of Southern Africa (AFSA), or
